Quite a few of our clients are in the process of developing global intellectual property licensing strategies. If you are considering licensing your intellectual property overseas, you must first consider how you will spend your resources (time and money) on intellectual property management and intellectual property commercialisation.
Your global intellectual property licensing strategy should be developed after due consideration being given to:
- Defining core/existing intellectual property, and development/commissioned intellectual property;
- Perpetual or limited licensing terms;
- Revocable conditions;
- Maintenance of operational standards/certification requirements;
- Territory and/or site based licensing structure;
- Use and modification restrictions;
- Escrow requirements for source code;
- Copy rights of licensee (disaster recovery/backup, training, testing, operational);
- Transfer conditions;
- Level of license exclusivity; and
- Warranty, maintenance and support obligations.
